Terms of Service

These terms of service govern the work Fire and Cloud Consulting LLC performs for you, what you pay, what you receive, and what each of us is responsible for. Paying an invoice or completing checkout on this website means you accept them.

These terms apply to every engagement between Fire and Cloud Consulting LLC and a client, whether the work begins with a signed service agreement, an invoice, or a payment made through this website. Where a signed service agreement exists and says something different, the signed agreement controls.

Who We Are

Fire and Cloud Consulting LLC is a Florida limited liability company operating from Jacksonville, Florida, and serving clients across the United States. We work on site in the Jacksonville metro and remotely everywhere else, so we do not operate a storefront. Notices go to the mailing address below. Throughout this document, "we," "us," and "our" mean Fire and Cloud Consulting LLC, and "you" and "your" mean the person or business purchasing services.

Services We Provide

We build and maintain digital systems for small and mid-sized businesses. Depending on what you purchase, an engagement may include any of the following:

  • Website design, development, and migration
  • Local SEO and ongoing SEO work
  • Lead generation systems and conversion tracking
  • Business automation and workflow consulting
  • CRM setup and configuration
  • Google Business Profile optimization and management, priced per location
  • Cloud platform and business operations consulting
  • Website hosting and ongoing website care

Every website we build is hand-coded. There is no page builder or content management dashboard unless you purchase one as a separate add-on. This is a deliberate choice that produces faster sites, and it means content changes are made by us rather than by you. Our website and SEO pricing page describes what each package includes.

What Your Package Includes

Payment starts the package you selected. It does not by itself define the finished build. Before build work begins, we confirm in writing what pages will be built, what content you supply, what we write, and what the launch target is. That written build confirmation is what the package covers.

Work that was not in the written build confirmation is quoted separately and does not proceed until you approve it. The original package price does not change because additional work was added. If a request falls outside that confirmation, we say so before doing it rather than after.

Revisions

Each package includes revision rounds on the content and design we produce. A revision round means one consolidated set of changes returned together, not an ongoing stream of individual requests. The number of included rounds is stated in your written build confirmation. Additional rounds are billed at the hourly rate quoted in your consultation.

Timelines

Launch windows are 5 business days for Flame Authority and 10 business days for Blaze the Market and Flare, unless a Flare agreement sets a different date. Your launch day is booked when you sign, and the window starts when your setup form is complete and we have every input we asked for, not on the day you pay. Missing content, delayed approvals, or pending access credentials pause the clock, and we will tell you when that happens and what is needed to restart it.

Launch-day guarantee

If your site is not live on the booked launch day for a reason on our side, your first month of Fuel is free, and we refund that month's Fuel charge to the card you paid with. A launch day that moves because of missing inputs, late approvals, access problems, or events outside our reasonable control does not trigger the guarantee. The guarantee covers the launch date only. It is not a promise about rankings, traffic, leads, or revenue.

What You Provide

The speed and quality of the work depend on what you give us. You are responsible for providing, in a reasonable timeframe:

  • Accurate business information: legal name, address, service area, hours, and phone number
  • Content you want used, including service descriptions, staff bios, and any required disclaimers
  • Photos, logo files, and brand assets you have the right to use
  • Access credentials for your domain registrar, existing hosting, Google Business Profile, and any tools we are asked to configure
  • Timely review and approval at each checkpoint

You confirm that you own or have permission to use everything you send us, including photos, logos, text, and customer testimonials. We rely on that confirmation and cannot verify it independently.

Payment Terms

All prices are in United States dollars. Payments made through this website are processed by Stripe. We do not receive or store your full card number.

Website programs

The website programs named in these terms are Flame Authority (listed at checkout as the Local Market Authority Website), Blaze the Market (Multi-Market Authority Website), and Flare, which is sold by written agreement. Each program is a website build plus Fuel, our monthly local search program. A package quoted to you privately is governed by these terms together with the written quote that describes it.

Flame Authority and Blaze the Market can be paid in full or split into two payments. Your first month of Fuel is charged at checkout with either option.

Splitting costs more, because carrying the balance costs us. Flame Authority is $2,500 paid in full, or two payments of $1,300 for a total of $2,600. Blaze the Market is $5,000 paid in full, or two payments of $2,600 for a total of $5,200.

The first payment reserves your build and your start date. The second payment is charged to the same card at launch and is due before the finished site is published to your domain or handed over. By choosing the two-payment option at checkout you authorize that second charge.

Google Business Profile optimization

Google Business Profile optimization is $300 per location when bought on its own. Fuel already includes Business Profile optimization and monthly posts for program clients. You choose the number of locations at checkout, and each location is a separate profile with its own audit, categories, services, photos, and review setup.

Creating the profile and completing Google's verification is your responsibility, because verification is tied to your business, your address, and mail Google sends to you. We need manager access to each verified profile to do the work. If a profile is currently controlled by a former marketing company or an employee who has left, recovering that access is a Google process with its own timeline, and it sits outside our control.

Fuel

Fuel bills at $1,250 per month and is required with every website program for a minimum of six months, starting at checkout. It runs only on sites we built, because it depends on the search structure and hosting we put in place. Six months is the minimum because search results do not move in four weeks, and a shorter engagement would end before the work it started could show. If you choose a twelve-month first term, the minimum is twelve months.

Hosting is included for as long as Fuel runs, along with up to one hour of minor site updates each month. After the minimum term, Fuel continues month to month until you cancel. You can cancel at any time after the minimum by giving written notice before the next billing date.

Flare market exclusivity

Flare includes market exclusivity as defined in the Flare agreement, which names the trade, the area, and the term it covers. Exclusivity is offered only where we do not already serve a competing client in that trade and area, and it is confirmed in writing before you sign.

Program for veterans, service members, and first responders

A business at least 51 percent owned by a veteran with an honorable or general discharge, a retired or currently serving service member (active duty, National Guard, or Reserve), or an active or retired law enforcement officer, firefighter, EMT, paramedic, or 911 dispatcher receives 15 percent off the website build and the first Fuel term. The first term is six months, or twelve months if you commit to twelve. From the first renewal onward, Fuel bills at the standard rate.

Eligibility is confirmed before checkout. You show proof of service on a call or in person, and we view it without copying or keeping it. Ownership is confirmed from public business records or an SBA VetCert certification. You then receive a single-use code for your business to enter at checkout. On the two-payment option, the discount applies to both build payments. The discount does not combine with any other discount or promotion, apart from the savings for paying the build in full. Hosting subscriptions

Hosting is included for as long as Fuel runs. When Fuel stops, hosting continues at $30 per month or $330 per year, because hosting is what keeps a site we built online. Sites bought under earlier package terms keep the hosting terms stated at their checkout.

Once hosting is billed on its own, it is charged automatically to the payment method on file until you cancel. Annual subscriptions renew annually and monthly subscriptions renew monthly, each on the anniversary of the first billed payment.

Failed and late payments

If a payment fails, Stripe will retry it and notify you. If a hosting subscription remains unpaid after 15 days, we may suspend the site until payment is current. If a project balance remains unpaid, work pauses and the site is not published or transferred until the balance clears. We will always contact you before suspending anything.

Taxes

Prices shown do not include sales tax. If a taxing authority determines that tax applies to your purchase, you are responsible for it.

Refunds and Cancellation

The short version: payments are refundable before work begins, minus payment processing costs and any administrative time already spent. Once discovery, planning, design, development, or SEO setup has started, package payments are not refundable except where the law requires it or we agree otherwise in writing. Hosting subscriptions can be canceled at any time and stay active through the period you paid for.

Hosting and Website Care

What hosting includes

A hosting subscription covers hosting infrastructure, your SSL certificate, form handling, and the deploy pipeline that publishes changes to your site. It does not include content changes, new pages, design work, or SEO work. Hosting is required for as long as we host your site, which is what keeps it online, patched, and monitored.

What the Website Care Plan adds

The Website Care Plan is purchased separately from hosting, in blocks of three months at $600 or six months at $1,080, and is available on sites we built that are not on Fuel. A three-month block includes one blog post written and published, one additional page, up to 30 minutes of content edits each month, uptime and form monitoring, and a monthly summary of what changed. A six-month block doubles the post and page allowance and adds four Google Business Profile posts and a search visibility report each quarter. Unused edit time does not carry over to the following month, and anything larger than a content edit is quoted and approved before work begins.

Spark Program hosting and Website Care

An organization selected for the Spark Program receives its website build at no charge. Hosting is required, starts on the day the organization checks out, and is billed at the rates shown on the Spark Program page and at checkout. Spark Website Care is optional and sold in six-month blocks paid up front. A block includes six change requests of up to 30 minutes of edits each, one new page, and uptime and form monitoring. The six months start on the day the site launches, or on the purchase date for a site that is already live, and the block ends at six months or when every request and the page are used, whichever comes first. Unused requests do not carry over, a block does not renew on its own, and a block is not refunded partway through.

Domain names

Your domain name is yours. We can register or configure it on your behalf, but ownership stays with you and you are responsible for renewal unless we have agreed in writing to handle it. If you cancel hosting, your domain remains yours and we will help point it wherever you want it.

Cancellation and what happens to your site

You can cancel a hosting subscription at any time by emailing us. Your site stays online through the end of the period you have paid for. After that, we take it offline. Before it comes down, we will provide the site files so you or another developer can host them elsewhere. We do not hold a site hostage over a canceled subscription.

SEO and Marketing Results

We do not guarantee rankings, traffic, lead volume, revenue, or advertising performance. No one can. Search engines change their algorithms without notice, competitors respond, and results depend on factors outside anyone's control, including your market, your pricing, and how you handle the leads you receive.

What we commit to is the work: the research, the pages, the technical implementation, and reporting that shows what happened, including what did not work. If a strategy is not working, we will tell you and recommend a change rather than keep billing quietly.

Ownership of Work

Once you have paid in full for a project, you own the final deliverables produced specifically for you: your website copy, your page files, your images, and your configured accounts. You are free to move them to another host or developer.

We retain ownership of the reusable components behind that work: our code libraries, page templates, design systems, internal tools, research methods, automation workflows, and documentation. You get a fully functioning site built on those components. You do not get exclusive rights to the components themselves, and we use them on other projects.

Unless you tell us otherwise in writing, we may reference your project in our portfolio and case studies, including screenshots and a description of the work performed. We will not publish your private business data or financial results without your written approval.

Third-Party Services

Delivering this work requires third-party platforms. Depending on your project, those may include Stripe for payments, Netlify for hosting, Google for analytics and Business Profile, your domain registrar, your email provider, CRM and automation platforms, and AI tools used in research and drafting.

Each of those services has its own terms and pricing, and each is responsible for its own uptime and performance. We configure and manage them on your behalf where the engagement calls for it, but we are not responsible for a third-party outage, price change, policy change, or account suspension. Where a service bills you directly, that cost is yours and is separate from what you pay us.

Acceptable Use

We will not build, host, or promote content that is illegal, that infringes someone else's intellectual property, that is deliberately deceptive, or that harasses or endangers people. That includes fabricated reviews and testimonials, false claims about credentials or licensing, and pages designed to mislead a visitor about who they are dealing with.

If we discover that a site we host is being used this way, we will contact you first. If it is not corrected, we may suspend the site. Payments made for work that cannot proceed for this reason are not refunded.

Limitation of Liability

Our total liability for any claim related to an engagement is limited to the amount you paid us for the specific service that gave rise to the claim, during the 12 months before the claim arose.

We are not liable for indirect, incidental, or consequential damages, including lost profits, lost leads, lost data, or business interruption, even where we were told those outcomes were possible. Services are provided as described in your written build confirmation, and we do not make warranties beyond what is stated in these terms.

Nothing here limits liability that cannot be limited under applicable law.

Changes to These Terms

We may update these terms. The date at the top of this page reflects the last revision. The version published at the time of your purchase is the version that applies to that purchase. Changes do not apply retroactively to work already underway unless you agree to them in writing.

For active hosting subscriptions, we will give at least 30 days notice by email before a change to price or included services takes effect, and you may cancel before it does.

Governing Law

These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Duval County, Florida, and both parties consent to that jurisdiction.

Before filing anything, both parties agree to spend 30 days trying to resolve the issue directly. Most disagreements come from a mismatch in expectations, and a conversation fixes them faster than a filing does.
